TERMS OF USE FOR SMS Bridge for Microsoft TeamS

1. Acceptance of Terms
These Terms of Use (“Terms”) govern your access to and use of SMS Bridge for Microsoft Teams (“SMS Bridge”), a service provided by Elysian Productions Inc (“we,” “our,” or “us”).
By installing, accessing, or using SMS Bridge within Microsoft Teams, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the service.
2. Description of the Service
SMS Bridge enables users to send and receive SMS and MMS messages within Microsoft Teams channels by integrating with third‑party telecommunications providers.
The service includes:
- SMS/MMS messaging via assigned phone numbers.
- Routing of messages to Microsoft Teams channels.
- Display of message history and attachments.
Microsoft Teams is provided by Microsoft, which operates independently from us. Microsoft’s terms and policies govern the Microsoft Teams platform.
3. Eligibility and Use
You agree to use SMS Bridge:
- Only for lawful business purposes.
- In compliance with all applicable laws and regulations.
- In accordance with these Terms and any applicable policies.
SMS Bridge is intended for business use only and is not designed for personal or consumer use.
4. Customer Responsibilities
You are solely responsible for:
- All use of the service under your account.
- The content of messages and attachments sent or received.
- Compliance with applicable laws, including SMS, privacy, and telecommunications laws.
- Obtaining consent from recipients where required.
You are responsible for the actions of all users, employees, or agents who access SMS Bridge under your account.
5. Acceptable Use
You agree not to use SMS Bridge to:
- Send spam, unsolicited messages, or marketing messages without proper consent.
- Transmit unlawful, harmful, abusive, or fraudulent content.
- Violate privacy rights or data protection laws.
- Send sensitive regulated data (see Section 6) without proper safeguards.
- Interfere with or disrupt the service or its infrastructure.
We reserve the right to suspend or terminate access for violations of these Terms.
6. Sensitive Data, HIPAA, and Security Limitations
No Secure Transmission Guarantee
SMS and MMS messaging are not guaranteed to be secure or encrypted end to end.
Prohibited / Restricted Use
You agree not to use SMS Bridge to transmit:
- Protected Health Information (PHI)
- Financial account data
- Highly sensitive personal data
unless you have independently ensured compliance with all applicable laws and regulations.
HIPAA Disclaimer
SMS Bridge is not represented as HIPAA‑compliant.
We do not enter into Business Associate Agreements (BAAs) with Microsoft, Twillio or any of our third-party service providers.
7. Third‑Party Services
SMS Bridge relies on third‑party providers, including Twilio, to deliver messaging services.
- These providers may handle message content and attachments.
- Their own terms and policies may apply.
- We are not responsible for third-party service interruptions or failures.
8. Fees and Messaging Charges
Use of SMS Bridge may incur:
- Messaging fees (SMS/MMS carrier charges)
- Subscription or usage‑based fees (if applicable)
You are responsible for all charges incurred through your use of the service. Services are billed on the monthly anniversary of when you established the account. Services are due immediately and will be charged to the card or payment method on file. When this payment method fails to process, you will be notified and given fifteen (15) days to complete payment. After fifteen (15) days, the service will be suspended and SMS/MMS messages will no longer process until such time that payment is received and processed. Two (2) violations of this policy in a single twelve (12) month period will result in your account converting to a prepaid account.
For prepaid accounts, a balance is kept in the account and is recharged when the balance drops below a certain threshold. All services provided by us stop working if the account is ever drawn to $0 or less.
It is your responsibility to monitor usage and plan for increases and decreases in expenditures.
9. Data Storage and Retention
SMS Bridge may store the following information:
- Message content.
- Phone numbers.
- MMS attachments.
Data may be stored:
- Temporarily for routing and delivery.
- Persistently for message history and continuity.
- Long-term or indefinitely, unless deleted.
You are responsible for managing your data and requesting deletion when appropriate.
10. Intellectual Property
All rights, title, and interest in SMS Bridge (excluding user data) are owned by Elysian Productions Inc.
You are granted a limited, non‑exclusive, non‑transferable license to use the service.
You may not:
- Reverse engineer or copy the service.
- Resell or redistribute the service.
- Use the service outside its intended purpose.
11. Contact Information
Elysian Online does not guarantee:
- Continuous or uninterrupted service.
- Delivery of all messages.
- Compatibility with all devices or carriers.
Service availability may be impacted by third‑party providers, including telecommunications carriers.
12. Disclaimer of Warranties
SMS Bridge is provided “as is” and “as available.”
Elysian Productions Inc disclaims all warranties, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non‑infringement
13. Limitation of Liability
To the maximum extent permitted by law, Elysian Productions Inc shall not be liable for:
- Indirect, incidental, or consequential damages.
- Loss of data, revenue, or business.
- Message delivery failures or delays.
- Unauthorized access or use.
Total liability shall not exceed the amount paid by you for the service during the preceding 12‑month period.
14. Indemnification
You agree to indemnify and hold harmless Elysian Productions Inc from any claims, damages, or liabilities arising from:
- Your use of the service.
- Your violation of these Terms.
- Your violation of applicable laws.
15. Termination
We may suspend or terminate your access:
- For violations of these Terms.
- For misuse of the service.
- To comply with legal requirements.
- For failure to pay for services.
You may stop using the service at any time.
16. Changes to Terms
Elysian Productions Inc may update these Terms at any time.
Continued use of SMS Bridge following changes constitutes acceptance of the updated Terms.
17. Governing Law
These Terms are governed by the laws of the State of Kentucky, United States, without regard to conflict of law principles.
